Terms of Service

Last updated 15 September 2026 · Applies to trynem.com, app.trynem.com and the Nem desktop and mobile apps
Status: implementation-accurate production draft, not yet legally reviewed. This page reflects what Nem's product actually does today. It has not yet been reviewed by counsel and is not a final, legally binding document until that review happens. Do not treat it as legal advice.

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of Nem — the desktop app, hosted service, and associated apps and websites (together, the "Service"), operated by the Nem team ("Nem," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of service

Nem is a personal AI assistant. It helps you organise information, manage tasks and communications, and take action on your behalf — including preparing and, with your approval, sending email, and running automated Workflows you configure. Nem's exact features change over time; this document describes the boundaries that apply regardless of which features are currently available.

3. Accounts and eligibility

You need a Nem account to use the Service. You are responsible for the accuracy of the information you provide and for safeguarding your credentials. You must be at least 16 years old to use Nem. You are responsible for activity that happens under your account, except activity resulting from Nem's own unauthorised acts.

4. Connected accounts (Gmail and others)

Nem can connect to third-party accounts you authorise — most notably Gmail, and optionally other connectors such as Slack or iMessage. When you connect an account:

5. Approval-bound actions

Nem is built around a specific safety boundary: nothing consequential — most importantly, sending an email — happens without your explicit approval of the exact content involved. If the content changes after you approve it, the approval no longer applies and Nem will not act on the old approval. Automated Workflows can be triggered by events (like a new email arriving), but a consequential step inside a Workflow still pauses for your approval before it takes effect. You are responsible for reviewing what you approve before you approve it — Nem is a drafting and preparation tool for consequential actions, not an autonomous decision-maker for them.

6. AI-generated content

Nem uses AI models to draft replies, summarise information, and answer questions. AI-generated content can be incomplete, out of date, or wrong. You are responsible for reviewing AI-generated content — especially anything you choose to send, share, or rely on — before you act on it. Nem does not guarantee the accuracy, completeness, or suitability of any AI-generated output.

7. Acceptable use

You agree not to use Nem to:

8. Subscriptions and billing

Nem offers a free plan and one or more paid subscription plans. Paid subscriptions are billed through Stripe, on the cadence shown at checkout. Feature availability by plan is described at checkout and in the product, and may change as Nem's plans evolve — this document does not fix specific features to specific plans, since that mapping is still being finalised in the product itself. You can cancel a paid subscription at any time; cancellation takes effect at the end of the current billing period unless stated otherwise at checkout. Fees are non-refundable except where required by law.

9. Intellectual property

Nem and its original content, features and functionality are owned by Nem and its licensors. You retain ownership of the content you provide to Nem (including your connected mail and messages) and of the Context Nem builds from it on your behalf. You grant Nem the limited rights necessary to process that content in order to provide the Service to you, as described in the Privacy Policy.

10. Termination

You may stop using Nem and disconnect your account at any time. We may suspend or terminate access to the Service if you violate these Terms, if required by law, or if continuing to provide the Service to you would create a security or legal risk. Where practical, we will give notice first. Provisions that by their nature should survive termination (including §§9, 11–14) will survive.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated output will be accurate.

12. Limitation of liability

To the maximum extent permitted by law, Nem will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Nem's total liability for any claim arising from these Terms or the Service is limited to the amount you paid Nem in the twelve months before the claim arose, or $100 if you are on a free plan. Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify and hold Nem harmless from claims, damages, and expenses (including reasonable legal fees) arising from your violation of these Terms or your misuse of the Service, including misuse of a connected account you were not authorised to connect.

14. Governing law

[Governing law and venue to be specified by Nem's legal owner based on the entity's actual place of incorporation/operation before this document is treated as final.]

15. Changes to these terms

We may update these Terms as the Service changes. We will update the "Last updated" date above, and for material changes we will provide reasonable notice before they take effect. Continued use of the Service after a change takes effect means you accept the updated Terms.
